Software, Licensing and Subscription Terms

These Software, Licensing and Subscription Terms apply to software licences, cloud services, support entitlements, renewals, digital products and subscriptions purchased from AB RoyalNet Inc., operating as TEKYHOST (“TEKYHOST,” “we,” “us,” or “our”). They supplement our Terms and Conditions of Sale.

Important: Most licence, subscription and support orders become non-cancellable and non-refundable after they are submitted to the vendor, issued, registered, provisioned or activated. Contact TEKYHOST before ordering if you need help confirming the correct product.

1. Licensed—not sold

Software, cloud services, subscriptions and support entitlements are licensed or provided for a limited term. Purchasing them does not transfer ownership of the software, service or underlying intellectual property.

Your use is governed by the applicable manufacturer’s, publisher’s or service provider’s end-user licence agreement, service terms, privacy terms, acceptable-use policy and support conditions (collectively, “Vendor Terms”). By placing an order, you agree to comply with the applicable Vendor Terms.

2. Selecting the correct licence

Licences may be measured by user, mailbox, device, CPU socket, processor, core, virtual machine, appliance, node, site, capacity, feature, support level, term or another vendor metric. You are responsible for confirming that the selected product and quantity cover your environment.

TEKYHOST can assist with licence selection and sizing based on the information you provide. You must disclose accurate technical, organizational and end-customer details. A recommendation may need to be revised if those details change or are incomplete.

3. Customer and end-user information

Vendors may require legal business name, address, administrator contact, end-user details, domain, hardware serial number, system identifier or other information before provisioning. You authorize TEKYHOST to provide required order information to the relevant vendor, distributor or fulfilment partner.

4. Electronic delivery and activation

Licences and subscriptions may be delivered through email, a vendor portal, licence file, activation key, account assignment, registration or other electronic method. Delivery is complete when the entitlement or access information is issued to the email address, account or organization associated with the order.

Provisioning time varies by vendor and may require manual review. A subscription term may begin when the vendor processes the order, issues the entitlement or completes activation—not necessarily when you first use the product.

5. Final-sale conditions

Except where required by law or expressly approved in writing by both TEKYHOST and the applicable vendor, the following are final sale after vendor submission, issuance, provisioning, registration or activation:

  • Software licences and licence keys;
  • New subscriptions and subscription renewals;
  • Support and maintenance entitlements;
  • Digital downloads and electronically delivered products;
  • Vendor-registered appliances or services; and
  • Training access and issued course credentials.

Review the product, edition, term, quantity, licence metric and customer information before submitting the order.

6. Subscription terms and renewals

Subscriptions operate for the stated term. Continued access, software updates, repositories, cloud services or technical support may depend on timely renewal. Vendor functionality or entitlements may be reduced, suspended or terminated after expiry.

Renewal prices may change because of vendor pricing, currency, programme, product or support changes. Unless automatic renewal is clearly disclosed and authorized, contact TEKYHOST to arrange renewal before the expiry date.

Where automatic renewal applies, cancellation stops a future renewal but does not normally generate a refund for the active term. Vendor notice periods and cancellation rules may apply.

7. Upgrades, downgrades and transfers

Edition changes, quantity changes, upgrades, downgrades, consolidations and transfers depend on vendor rules. Credits for unused time are not guaranteed. Some licences cannot be reassigned to a different company, region, account, appliance or end user.

8. Support levels

A vendor support entitlement provides only the support level described for that product. Response times, ticket limits, support hours, communication methods, remote access and supported versions are governed by the applicable Vendor Terms.

TEKYHOST installation, administration, troubleshooting, migration and managed services are not included with a vendor licence unless expressly stated on the product page, quotation or service agreement.

9. Open-source software support

Where TEKYHOST sells support for an open-source product, the purchase is for the described support service—not ownership of the open-source software. Support scope, hours, systems, response targets and exclusions are determined by the purchased product and any related service agreement.

10. Vendor changes and service availability

Vendors control their products, portals, repositories, hosted services, product roadmaps and licence programmes. They may change features, compatibility, system requirements, pricing, support policies or availability. TEKYHOST is not responsible for a vendor discontinuing or modifying a product or service, but we will provide reasonable assistance in identifying available options.

11. Compliance and permitted use

You are responsible for using licences and subscriptions within the purchased scope and maintaining records needed to demonstrate compliance. You must not share, copy, resell, export, reverse engineer, circumvent technical controls or use a product contrary to applicable law or Vendor Terms.

12. Security and backups

You are responsible for protecting licence keys, administrative credentials, tokens and vendor accounts. Before installation, upgrade or migration, maintain verified backups and an appropriate recovery plan. No security product, subscription or support service can eliminate every risk.

13. Professional services

Deployment, migration, configuration, integration, training and ongoing management require a separate purchase unless specifically included. Professional services may be governed by a quotation, statement of work or service agreement that defines scope, assumptions, responsibilities and fees.

14. Conflicts and applicable terms

If these terms conflict with mandatory law, that law prevails. Vendor Terms govern use of the vendor’s product. A signed TEKYHOST quotation or service agreement governs the specific commercial or professional-service commitment where it expressly differs from these online terms.
