Terms and Conditions of Sale

These Terms and Conditions of Sale (“Terms”) apply to orders placed through the TEKYHOST online store operated by AB RoyalNet Inc., operating as TEKYHOST (“TEKYHOST,” “we,” “us,” or “our”). By submitting an order, you agree to these Terms and to the policies referenced below.

1. Seller information

The seller is AB RoyalNet Inc., operating as TEKYHOST, located at 7030 Woodbine Avenue, Suite 500, Markham, Ontario L3R 6G2, Canada. You can contact us at [email protected] or 1-888-638-1233.

2. Eligibility and authority

You must have legal capacity to enter into a binding agreement. If you order for a company or other organization, you confirm that you are authorized to bind that organization and that the billing, licensing and end-customer information you provide is accurate.

3. Product information and compatibility

We make reasonable efforts to present accurate product descriptions, images, specifications, compatibility information and availability. Manufacturers may change specifications, packaging, features, licensing rules or support terms without notice. Product images may be illustrative.

You are responsible for confirming that a product, licence, subscription, capacity, connector, region, term and support level meet your requirements. TEKYHOST can provide pre-sales guidance, but recommendations depend on the completeness and accuracy of the information you provide.

4. Prices, currency and taxes

Unless clearly stated otherwise, store prices are displayed in Canadian dollars. Applicable sales taxes and shipping charges are added during checkout or shown in a quotation. Prices may change without notice before an order is submitted.

If a tax exemption applies, you must provide valid documentation acceptable to TEKYHOST before the order is completed. You remain responsible for taxes, fees or charges imposed on your purchase except where TEKYHOST is legally required to collect and remit them.

5. Placing and accepting an order

Your checkout submission is an offer to purchase. An automated acknowledgement confirms receipt but does not necessarily mean the order has been accepted. Acceptance occurs when TEKYHOST confirms the order, begins fulfilment, provisions the product or ships the goods.

We may request additional customer, end-user, licensing, identity, payment or fraud-verification information before accepting or fulfilling an order.

6. Availability and catalogue errors

All orders are subject to product and vendor availability. We may reject or cancel an order before fulfilment if a product is unavailable, discontinued, restricted, materially mispriced or affected by a catalogue, tax, technical or compatibility error. If payment has already been collected for a cancelled item, we will refund the applicable amount.

7. Payment

Payment must be made using a method offered at checkout or otherwise approved by TEKYHOST. You authorize TEKYHOST and its payment providers to process the applicable charges, taxes and authorized adjustments. Orders may be held until payment is confirmed.

Payment-card processing may be provided by a third party under its own terms and privacy practices. TEKYHOST does not intend to store complete payment-card numbers or card security codes on its own systems.

8. Software licences and subscriptions

Software, cloud services, support entitlements and subscriptions are licensed—not sold—and remain subject to the applicable manufacturer’s or publisher’s end-user licence agreement, service terms, acceptable-use rules and support policies. By ordering, you agree to comply with those vendor terms.

• Licences may be limited by user, mailbox, CPU socket, device, appliance, site, term, region or other metric.
• You are responsible for providing correct end-user and entitlement information.
• Licence terms may begin when the vendor processes, issues, registers or activates the entitlement.
• Once issued, activated or registered, licences and subscriptions are normally final sale.
• Vendor terms prevail regarding product use, technical limitations, support scope and licence transferability.

9. Renewals

Subscriptions, maintenance and support entitlements may require renewal to continue. Renewal pricing may differ from the original purchase price. Unless checkout, a quotation or another agreement clearly provides for automatic renewal, TEKYHOST will not assume that a product renews automatically.

Where automatic renewal applies, you authorize the renewal charge according to the disclosed frequency and may cancel future renewal subject to the applicable notice and vendor rules. Cancellation of future renewal does not normally produce a refund for the current term.

10. Professional and managed services

Installation, configuration, migration, consulting, training and managed services may require a separate quotation, statement of work or service agreement. If there is a conflict, the signed service document governs the specific service. Unless expressly included, purchasing a product does not include installation, configuration, migration or ongoing management.

11. Shipping and electronic delivery

Physical delivery and electronic fulfilment are governed by our Shipping and Delivery Policy. We currently accept online orders for delivery within Canada. Risk and responsibility for physical products transfer as provided by applicable law and the delivery arrangement.

12. Returns, refunds and cancellations

Returns and cancellations are governed by our Returns, Refunds and Cancellations policy. Contact TEKYHOST before returning any product. Software, subscriptions, special orders, registered items, digital products and completed services may be non-returnable.

13. Manufacturer warranties

Physical products may include a manufacturer’s limited warranty. Software and services may include vendor support or service commitments. Those warranties and commitments are provided under the manufacturer’s or vendor’s terms. TEKYHOST will provide reasonable assistance in identifying the applicable warranty or support process.

Except for express commitments made by TEKYHOST in writing and warranties that cannot lawfully be excluded, products and third-party services are provided subject to the applicable manufacturer or vendor terms.

14. Customer responsibilities

You agree to:

• Provide accurate order, contact, billing, shipping and licensing information;
• Use products and services lawfully and according to vendor terms;
• Maintain appropriate backups before installation, configuration or migration work;
• Protect licence keys, credentials, tokens and account access;
• Review order confirmations and promptly report errors; and
• Not resell, export or transfer restricted products without required authorization.

15. Security products and professional judgment

No security product or service can eliminate every cyber risk. Product capabilities, performance and suitability depend on configuration, licensing, environment, maintenance and use. Purchasing a security product does not by itself guarantee compliance, prevent incidents or replace a documented security program.

16. Limitation of liability

To the maximum extent permitted by law, TEKYHOST will not be liable for indirect, incidental, special, punitive or consequential loss, including loss of profit, revenue, data, business opportunity or anticipated savings, arising from a purchase or use of a product or service.

To the maximum extent permitted by law, TEKYHOST’s aggregate liability relating to a particular order will not exceed the amount paid to TEKYHOST for the product or service giving rise to the claim. These limitations do not apply where prohibited by applicable law and do not restrict statutory rights that cannot be waived.

17. Events outside reasonable control

TEKYHOST is not responsible for delay or failure caused by circumstances outside its reasonable control, including manufacturer or distributor shortages, carrier disruptions, labour disputes, natural disasters, extreme weather, power or Internet failures, cyber incidents, government actions or vendor service interruptions. We will make reasonable efforts to communicate material impacts.

18. Privacy

Our handling of personal information is described in the Privacy Policy. Information may be shared with vendors, distributors, carriers and service providers as reasonably necessary to verify, fulfil, support and deliver an order.

19. Intellectual property

The TEKYHOST website, branding and original website content are protected by applicable intellectual-property laws. Manufacturer and product names, logos, documentation and trademarks belong to their respective owners. Nothing in these Terms transfers ownership of third-party software or intellectual property.

20. Governing law

These Terms are governed by the laws of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law rules. The courts located in Ontario will have jurisdiction, subject to any mandatory consumer rights or dispute forum that applies by law.

21. Severability and entire agreement

If any provision is found unenforceable, the remaining provisions remain effective. These Terms, the policies they reference and any applicable quotation or signed agreement form the agreement relating to the order. A specific signed agreement or quotation prevails to the extent of a direct conflict concerning that purchase.

22. Changes to these Terms

We may update these Terms for future orders. The version in effect when you submit an order generally applies to that order unless a change is required by law or agreed with you. The current version and updated date will be posted on this page.
